ARTIST / EXHIBITION AGREEMENT
The Agreement is made between:
The Exhibiting Artists of Kinetica’s Anniversary Show (the 'Artists')
And:
Kinetica Museum Limited, Company Number: 05271297 ('Kinetica')
For:
Kinetica Anniversary Exhibition (the ‘Exhibition’)
February 17th – 19th 2017
Location:
Ugly Duck, 47-49 Tanner Street, Bermondsey, London SE1 3PL
1. Installation and de-installation
Set-up times
Thursday 16th February 10am - 8pm
Strike times
Sunday 19th February 6pm – 10pm
Parking: There is a yard where you can drive in & park. Please do not leave your car here all day as we need to keep it for all other exhibitors to access. Max stay is 1 hour per vehicle.
2. Exhibition costs
Kinetica will cover the costs of the design and print of catalogues, invitations, and all other publicity.
Kinetica will also cover the insurance of the Artist’s work while at the exhibition premises. It is the artist’s responsibility to provide to Kinetica an estimate of the insurance value of their artwork(s).
The Artist is responsible for the shipping of the work / transportation & insurance whilst in transit to / from the Exhibition.
3. Tickets and public entrance
All artists can invite 2 guests to the VIP launch event and receive a further 2 all access entries to the exhibition either for Friday day (1-5pm), Saturday (10am - 8pm) or Sunday (10am - 6pm).

All guests will be added to our guest list prior to the show.
4. Catalogues
The catalogue will have one page for each artist, with image and text. The Artist will receive two free catalogues – further copies can be purchased at a 20% discount.
5. Ownership of work
The artist will remain the owner of the work until sale to a buyer.
6. Sales and commission
Should a sale be concluded during or as a direct result of the Exhibition, Kinetica will take a 35% commission of the sale price of each Artwork sold.
This commission is also applicable for the sale of any further editions of the same artwork shown at the Exhibition.
For any new artworks that are commissioned as a direct result of contacts made at or from the Exhibition, Kinetica shall be entitled to a 35% commission of the profit after production costs of the newly-created work.
For any other existing artworks by the Artist (different to the work shown at the Exhibition) that are sold as a direct result of contacts made at or from the Exhibition, Kinetica shall be entitled to a 10% commission + VAT of the sale price of each artwork sold.
All enquiries to purchase the Artist’s work during or as a direct result of the exhibition shall be directed to Kinetica. The Artist agrees to inform Kinetica of sales enquiries or contacts relating to new commissions as a result of the Exhibition, for a period of 3 months following the end of the Exhibition.
The Artist allows Kinetica to offer a discretionary 10% discount of the agreed Retail Price in order to close a sale. Anything over a 10% discount, Kinetica is obligated to seek prior approval from The Artist.
7. Payments
Unless otherwise agreed, the Artist will produce an invoice to Kinetica for their percentage of any sale. Kinetica will pay the Artist only after receipt of sales proceeds in full from the buyer.
8. Loss or damage to work; insurance
Kinetica will have insurance in place to cover both public liability and the artworks while at the Exhibition premises. The insurance will cover fire and accidental damage.
It is the Artist’s responsibility to take good care of and not to cause any damage to the Exhibition premises, including any equipment, fittings or other property.
9. Copyright
The Copyright in the Artworks shall remain with the Copyright holder.
The Artist agrees to assign to Kinetica all rights to photograph the work for catalogue, postcards, website and for sales promotions, and will take all steps necessary to affect the same.
10. Credits and Moral rights
The artist will be credited whenever any work is exhibited in public or an image of the work is published by or for Kinetica.
11. Legal clauses
• Force Majeure
Neither party will be responsible for compensating the other if they fail to meet their obligations because of circumstances outside their reasonable control.
• Modifications
All changes to the agreement must be in writing signed by both parties.
• Entire agreement clause
This agreement contains all the agreed terms regarding the exhibition.
• Governing Law
This Agreement shall be governed in all respects by English law.
