About the job
In the role as Legal Counsel you will be part of the legal and regulatory team that provide legal and compliance support to the entire CIP organisation and the Copenhagen Infrastructure funds under management by CIP. You will be joining a team of three dedicated legal professionals who work in close cooperation to manage a wide range of legal and regulatory matters across CIP’s activities globally. The team provides legal advice and guidance with respect to a broad range of applicable legal and contractual governance requirements related to the funds and their respective investments.
Key duties and responsibilities include:
Legal support related to investment fund management, including the establishment and maintenance of fund structures and fund documentation
Advising on general business law issues and managing the legal issues of CIP
Drafting and negotiating of a broad range of contracts and agreements
Ensure and monitor compliance with fund documentation, investor requirements, internal policies and the regulation related to alternative investment funds and alternative investment fund managers (AIFM rules)
Ensure compliance with AML/CTF requirements
Communication with external stakeholders on legal and regulatory matters, including the Danish Financial Supervisory Authority (Finanstilsynet)
Ethics, compliance and governance training of CIP employees
Management of external legal counsels
Other legal ad hoc tasks related to the investments of the funds in close corporation with CIP’s investment team and asset management functions
The ideal candidate
The ideal candidate has at least +5 years of relevant professional experience as a lawyer in a leading law firm, fund management company and/or in-house legal position in a large international corporation. To be successful in this position, it is essential that you have extensive knowledge and experience with corporate law and/or financial regulation. The ideal candidate has strong analytical and interpersonal skills and can navigate and thrive in a fast-paced environment. Further, the ideal candidate possesses an ability to draft documents promptly and in a precise manner. Excellent command of written and spoken English is required in this role.
